Netrix Affiliate Program Agreement
Deal Architecture Academy
This Affiliate Program Agreement (the "Agreement") is entered into between Netrix Enterprise LLC, doing business as Deal Architecture Academy ("Netrix," "we," "us," or "our"), and the person or entity that applies to and participates in the Netrix Affiliate Program ("Affiliate," "you," or "your"). By applying for, registering for, or participating in the Program, and by checking the acknowledgement box, you agree to be bound by this Agreement.
1. The Program
1.1 The Netrix Affiliate Program (the "Program") lets you earn commissions by referring customers to courses, certifications, and other products offered through Deal Architecture Academy (the "Products").
1.2 We provide you with one or more trackable referral links ("Affiliate Links"). When a customer reaches our site through your Affiliate Link and completes a qualifying purchase, the sale may be attributed to you.
2. Enrollment and Acknowledgement
2.1 You must submit a complete and accurate application and acknowledge this Agreement before your account can become active.
2.2 We may approve or decline any application at our discretion. Your account is not active, and you earn no commissions, until we approve it.
2.3 You must be at least 18 years old and legally able to enter into this Agreement.
2.4 You are responsible for keeping your account details and payout information current and accurate.
3. License and Conduct
3.1 We grant you a limited, non-exclusive, non-transferable, revocable license to use your Affiliate Links and any marketing materials we expressly provide, solely to promote the Products during the term of this Agreement.
3.2 You may not alter, copy, or misuse our names, logos, trademarks, course content, or marketing materials except as expressly permitted in writing.
3.3 You will promote the Products lawfully, honestly, and in a manner that reflects well on Netrix.
4. Prohibited Activities
You will not:
4.1 Make any false, misleading, exaggerated, or unsubstantiated claim about the Products, Netrix, or the results a customer may achieve.
4.2 State or imply any guarantee of income, investment return, profit, loan approval, or financial outcome. The Products are educational. They are not financial, investment, legal, or tax advice, and you will not present them as such.
4.3 Use spam, unsolicited email or messaging, or any communication that violates applicable law, including the CAN-SPAM Act and telemarketing rules.
4.4 Bid on or use Netrix names, trademarks, or confusingly similar terms in paid search, domains, social handles, or advertising, or pose as Netrix.
4.5 Engage in cookie stuffing, forced clicks, incentivized clicks, self-referral fraud, fake accounts, or any attempt to manufacture or manipulate clicks, leads, or sales.
4.6 Purchase Products through your own Affiliate Link to earn a commission unless we have enabled self-referral in writing.
4.7 Promote the Products on any site or channel that contains unlawful, hateful, infringing, or sexually explicit material.
5. Disclosure
You will clearly and conspicuously disclose your affiliate relationship with Netrix wherever you promote the Products, consistent with the Federal Trade Commission Guides Concerning the Use of Endorsements and Testimonials in Advertising.
6. Commissions
6.1 Tiers. The Program is two tiered. You may earn a tier one commission on your own qualifying sales, and a tier two override commission on qualifying sales made by affiliates you personally referred to the Program (your "Sub-Affiliates").
6.2 Default rates. Unless we set a different rate, the tier one commission is thirty percent (30%) of the net sale amount and the tier two override is ten percent (10%) of the net sale amount. We may set different rates globally, per product, or per affiliate. The rate in effect at the time of the sale applies.
6.3 Qualifying sale. A sale qualifies only when it is completed, paid in full, and attributed to your Affiliate Link, and only when it is not refunded, charged back, canceled, or fraudulent.
6.4 Attribution. Attribution is based on your Affiliate Link and a tracking cookie with a window of sixty (60) days, on a last click basis, subject to the customer's browser and settings. Where an affiliate code is supplied at checkout, that code controls.
6.5 Net sale amount. Commissions are calculated on the net amount actually received by Netrix for the Product, excluding taxes, shipping, payment processing fees, discounts, coupons, and refunds.
6.6 Approval and reversal. Commissions are first recorded as pending. A commission becomes payable only after we approve it, which may occur after a clearance period of [30] days to allow for refunds and chargebacks. We may reverse, void, or deduct any commission that relates to a refunded, charged back, canceled, fraudulent, or mistaken transaction, including against future commissions.
7. Payouts
7.1 We pay approved commissions using the payout method on file, on our regular payout schedule.
7.2 We may apply a minimum payout threshold of [USD 100]. Balances below the threshold roll forward until the threshold is met.
7.3 You must have acknowledged the current version of this Agreement before any payout is issued to you. If we publish an updated version, you must acknowledge it before your next payout.
7.4 Taxes. You are an independent party and are solely responsible for all taxes on your commissions. You will provide any tax documentation we reasonably request, such as a Form W-9, and we may withhold or report as required by law. United States affiliates paid at or above the applicable threshold may receive a Form 1099.
7.5 Unclaimed or undeliverable payouts may be forfeited as permitted by law if you do not maintain valid payout details.
8. Account Status
8.1 Your account may be pending, active, on hold, suspended, or terminated.
8.2 On hold. We may place your account on hold at any time. While on hold you do not earn commissions, your Affiliate Links may stop attributing sales, and payouts may be paused. Commissions already earned and approved are not affected.
8.3 Suspended or terminated. We may suspend or terminate your account for any violation of this Agreement or for any conduct we reasonably believe is fraudulent, abusive, or harmful. We may withhold or void unpaid commissions associated with such conduct.
8.4 We may decline to approve, may block, or may remove any application or account, and may bar an email address or affiliate code from registering again.
9. Term and Termination
9.1 This Agreement begins when you are approved into the Program and continues until terminated.
9.2 Either party may terminate at any time, with or without cause, by notice or by closing the account.
9.3 On termination, your license to promote ends, you must stop using Affiliate Links and materials, and approved but unpaid commissions in good standing will be paid on the normal schedule, subject to reversal rights. Pending or unapproved commissions may be forfeited.
9.4 Sections that by their nature should survive, including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.
10. Changes to this Agreement
10.1 We may update this Agreement at any time. When we publish a new version, the updated version applies to your continued participation.
10.2 We may require you to acknowledge the current version before issuing any further payout. Your continued participation after an update constitutes acceptance of the updated terms.
11. Independent Contractor
You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to bind Netrix or to make any representation on its behalf.
12. Intellectual Property and Confidentiality
12.1 All Netrix names, logos, content, and materials are and remain the property of Netrix. You receive no ownership rights.
12.2 You will keep confidential any non-public information you learn through the Program and will use it only to perform under this Agreement.
13. Disclaimers
The Program and the Products are provided on an as is and as available basis. We do not warrant any specific level of traffic, clicks, sales, or earnings. Any examples of earnings are illustrative and are not a promise of results.
14. Limitation of Liability
To the maximum extent permitted by law, Netrix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability arising out of or relating to the Program will not exceed the total commissions we paid you in the [six] months before the event giving rise to the claim.
15. Indemnification
You will defend, indemnify, and hold harmless Netrix and its owners, officers, and agents from any claim, loss, or expense, including reasonable attorney fees, arising out of your participation in the Program, your promotional activities, your content, or your breach of this Agreement.
16. Governing Law and Disputes
This Agreement is governed by the laws of the State of Georgia, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in [county], Georgia, and you consent to their jurisdiction.
17. General
17.1 We may assign this Agreement. You may not assign it without our written consent.
17.2 If any provision is held unenforceable, the remaining provisions remain in effect.
17.3 Our failure to enforce any provision is not a waiver of it.
17.4 This Agreement is the entire agreement between the parties regarding the Program and supersedes any prior understanding on the subject.
